GUTTER PUNCH, INC. PRE-ORDER TERMS OF SERVICE

This Pre-Order Terms of Service Agreement (“Agreement”) is entered into between you (“User,” “you,” or “your”) and Gutter Punch, Inc. (“Company,” “we,” “us,” or “our”) when you place a pre-order through our website. By clicking “I Agree,” checking a box, or otherwise confirming your acceptance, you agree to be legally bound by this Agreement.

1. Nature of Pre-Orders

When you place a pre-order on our site, you are not purchasing a finished product. You are supporting the potential development, production, and eventual delivery of a manga, comic, or related item that may still be in early creative stages or has not yet entered production.

A pre-order does not entitle you to:

• Ownership or co-ownership of the product, IP, or brand
• Creative input or approval rights
• Profit-sharing, royalties, or equity in any form

2. Crowdfunding Model & Risk Disclosure

Our platform operates similarly to a crowdfunding platform, where pre-orders are used to support and fund the creation of new projects. As such, you understand and accept the following risks:

• The project may experience delays, changes, or cancellation
• The final product may differ in content, format, or appearance from what was initially described
• There is a possibility the product may never be delivered or completed

You voluntarily assume these risks with full awareness.

3. No Guarantees or Warranties

Gutter Punch, Inc. makes no guarantees as to:

• The completion or publication of any specific project
• Delivery timelines or fulfillment
• Quality or creative content of the final product

All pre-orders are offered “as is” and without warranties, express or implied.

4. Role of the Company

Gutter Punch, Inc. is a platform and facilitator, not the creator of every project. Creators are responsible for their own commitments, timelines, and content. The Company is not liable for any representations, promises, or deliverables made by third-party creators.

5. Non-Refundable Contributions

All pre-order payments are considered non-refundable contributions toward a creative project. No refunds, exchanges, or cancellations will be permitted after purchase, unless required by law.

6. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of money or expectations
• Delayed or undelivered items
• Changes to or cancellation of a project

Your exclusive remedy is limited to the amount you paid for the specific pre-order in question, and only if required by applicable law.

7. User Conduct

You agree not to:

• Misuse the platform, harass creators, or interfere with other users
• Claim ownership or legal rights over projects or content
• Attempt chargebacks or fraud after placing a pre-order

Violation of this section may result in account suspension or legal action.

8. Changes to Agreement

We reserve the right to update or modify this Agreement at any time. We will provide notice of changes via our website or through email, and your continued use of the platform constitutes acceptance.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law principles. Any disputes shall be resolved in the courts located in the United States and Indiana.
